The Company

A Founder-Built Paving Contractor With Deep Municipal Relationships

Founded in 2001 by Lori Marxmiller, Lori's Transportation & Excavation built a reputation as one of Metro Atlanta's dependable concrete and asphalt paving subcontractors. The company provided asphalt milling and resurfacing, patch and permanent paving, general milling, and concrete work across Georgia and neighboring states including Tennessee and Alabama.

Its core customers included water and sewer contractors and other firms bidding municipal infrastructure work, with projects tied to annual resurfacing programs in DeKalb and Clayton counties, the City of Atlanta, and other Georgia municipalities.

Repeat customers generated roughly 80% of annual business, and the company's longest client relationships stretched to 15 years. Lori's typically served 20 to 25 active clients across approximately 45 to 55 contracts per year.

Business Highlights
80% Repeat Business Long-standing contractor and municipal relationships drove recurring work.
15-Year Client Relationships Some customer relationships extended for more than a decade.
45–55 Contracts Annually A consistent flow of paving and infrastructure assignments.
WOSB Certified WBENC-certified Woman-Owned Small Business status supported access to federal contracting opportunities.
Seller's Objective

Planning a Founder's Retirement After Two Decades

After nearly 20 years building the company, Lori Marxmiller was ready to retire. Because she remained the primary contact for several key clients, the transition itself was just as important as the sale.

Her objectives were a complete buyout, a buyer that would honor Lori's long-standing customer relationships, and an orderly handoff. She ultimately stayed with the company for one year after closing to transition customers and support continuity for the crews.

The Process

A Broad Market Process Created Six Competing Offers

Sunbelt Atlanta was engaged as exclusive sell-side advisor, with the transaction led by Dealmakers Doreen Morgan and Mark Werbalowsky. The team built a broad universe of strategic acquirers, private equity-backed platforms, and financial buyers active in paving, road and highway construction, and infrastructure services.

Over the course of the engagement, 221 qualified buyers engaged under strict confidentiality, protecting Lori's employees, customers, and market position throughout the sale process.

That reach generated six letters of intent, giving the seller meaningful choice among competing offers. The transaction moved from launch to close in six months.

“221 qualified buyers and six LOIs gave ownership real leverage to evaluate not only value, but also strategic fit, continuity, and the future growth platform.”
Selecting the Right Partner

Scale to Pursue the Work Lori's Was Turning Away

Ownership selected Ciropic Construction because the combination offered more than a financial exit. Ciropic's broader heavy-road platform created the resources to pursue additional regional paving, highway, and utility-related work while preserving the customer relationships and reputation Lori's had built over nearly two decades.

The Buyer's Perspective

A Strategic Roll-Up in Heavy Road Construction

For Ciropic Construction, the acquisition fit a roll-up strategy in a fragmented heavy-road construction market. Lori's brought immediate access to loyal customers, established municipal relationships, recurring resurfacing work, and specialized WOSB credentials.

Why Buyers Saw Growth Beyond the Existing Business

Selling Into Strength With More Demand Than the Company Could Absorb

Lori's entered the market while demand was still growing. The company was regularly turning down projects because it lacked enough estimators, managers, and crews to pursue all available work—giving buyers a visible path to growth simply by adding resources.

Existing Demand
Growth was constrained by staffing capacity rather than a lack of available projects.
Municipal Relationships
Long-standing contractor and public-infrastructure relationships created recurring work.
WOSB Certification
Woman-Owned Small Business status created access to contracting opportunities unavailable to every competitor.
Scalable Platform
A larger buyer could add estimators, managers, and crews to capture demand the company was already seeing.
Market Context

Infrastructure Investment Supports Continued Paving Demand

The transaction closed against a backdrop of rising investment in roadway infrastructure. Metro Atlanta's growing population, municipal repair programs, and recurring road and bridge maintenance needs supported demand for experienced paving and infrastructure contractors.

$123.5B
Projected U.S. road and highway construction industry revenue by 2024
$1B+
Infrastructure repair budgets in each of Metro Atlanta's five largest counties
2.5M
Projected regional population growth by 2040
106,800+
Miles of county roads and city streets supported by Georgia's LMIG program

The market also remained highly fragmented, with roughly 41.5% of firms employing fewer than five people. As buyers pursued consolidation strategies, contractors with strong municipal relationships, repeat customers, specialized credentials, and a reputation for quality became increasingly attractive acquisition targets.

Lessons for Sellers

Five Takeaways for Paving & Infrastructure Contractors

1
Sell into strength. Owners do not need to wait until growth slows. Going to market while demand is strong can give buyers a clearer growth story.
2
Cast a wide, confidential net. Broad outreach created six competing LOIs and gave ownership genuine alternatives.
3
Relationships and credentials drive value. Long-standing municipal relationships, repeat business, and WOSB certification can matter as much as equipment or backlog.
4
Plan the transition, not just the exit. A defined founder transition period can reassure buyers, employees, and long-standing customers.
5
Every business has a story. Every transaction needs a strategy. A professionally managed process helps translate customer relationships, credentials, demand, and strategic fit into buyer competition.
