The Company

A Building Materials Distributor That Competed on Service, Not Price Alone

Building Supply Association, Inc. (BSA) was founded in 2007 by Michael Langston and Tim Bice, who brought a combined 50 years of building supply industry experience. Headquartered in Powder Springs, Georgia, with a satellite warehouse in Adairsville, the company grew into one of Georgia's largest suppliers of roofing, vinyl siding, fiber cement, and window products.

BSA differentiated itself through a contractor-focused service model. In addition to materials distribution, the company provided customized lead generation, web and video marketing, telemarketing support, and low-interest, no-collateral in-house financing for homeowner projects.

Proprietary inventory and administrative software, a broad supplier network, and a delivery fleet capable of supporting a high volume of job-site drops reinforced BSA's position as a business partner to contractors rather than simply a materials supplier. The company also built a stable team with average employee tenure exceeding seven years.

Business Highlights
Value-Added Contractor Services Lead generation, marketing support, telemarketing, and financing complemented core distribution.
Proprietary Systems Inventory and administrative technology supported the company's growing operation.
Experienced Workforce Average employee tenure exceeded seven years.
Multi-State Reach The company's footprint extended across Georgia, Alabama, Tennessee, and Louisiana.
Seller's Objective

Preparing an Entrepreneurial Wholesaler for Its Next Chapter

After building BSA from a startup into one of the Southeast's fastest-growing building supply wholesalers, ownership was ready to transition out of the business and pursue new opportunities.

The challenge was preserving the momentum created by BSA's people, financing programs, customer relationships, and differentiated service model. The right buyer needed both the scale to support continued expansion and the ability to protect the strengths that had made the company successful.

The Process

A Broad Strategic Search That Created Real Choice

With the transaction led by Dealmaker Doreen Morgan, Sunbelt Atlanta built a targeted universe of strategic acquirers and distribution platforms active in building products and wholesale supply.

The process produced 80 prospective buyers under strict confidentiality agreements, protecting BSA's employees, customers, and competitive position while the market was tested.

That outreach generated four letters of intent and gave ownership the ability to compare multiple buyers and deal structures. From launch to close, the transaction was completed in five months.

“Broad buyer outreach created a competitive process that allowed ownership to evaluate not only economics, but also management continuity and the future of the people who helped build the company.”
Selecting the Right Partner

Scale With Continuity

Ownership ultimately selected US LBM, one of the country's largest specialty building materials distributors. The national platform offered BSA the scale and stability needed for continued growth while also providing General Manager Tim Bice with the option to remain under a flexible employment agreement and creating advancement opportunities for members of the existing management team.

The Buyer's Perspective

Product-Line and Market-Share Expansion

BSA held a substantial share of the roofing supply market within its territory. The acquisition gave US LBM access to a product line and distribution capability it did not previously have in the Southeast while adding a new contractor customer base that could also be served with US LBM's broader building products portfolio.

What Made BSA Different

More Than a Building Materials Distributor

BSA built its competitive advantage by helping contractors grow their own businesses. That service-first model gave strategic buyers value beyond inventory, warehouses, and delivery capacity.

Lead Generation
Customized lead-generation support helped contractor customers create new business opportunities.
Marketing Support
Custom web, video, and telemarketing services extended BSA's role beyond product distribution.
Customer Financing
Low-interest, no-collateral in-house financing supported homeowner projects and contractor sales.
Operational Infrastructure
Proprietary systems, supplier relationships, and delivery capabilities supported the company's growing scale.
Market Context

Consolidation Meets Durable Demand for Exterior Building Products

At the time of the transaction, demand for roofing, siding, and insulation products was supported by recovering construction activity, remodeling demand, and an aging U.S. housing stock. At the same time, the wholesale distribution market remained highly fragmented, creating opportunities for national platforms to acquire strong regional distributors.

With roofing materials carrying a useful life of roughly 15 to 20 years, repair and reroofing demand provided an additional structural driver. That combination of steady demand and industry fragmentation made well-run regional distributors with strong contractor relationships attractive targets for larger strategic platforms.

Lessons for Sellers

Five Takeaways for Distribution & Wholesale Business Owners

1
Differentiate beyond price. Services, relationships, financing programs, technology, and other capabilities can make a distributor more valuable than inventory and logistics alone.
2
Cast a wide, confidential net. Broad strategic outreach can uncover buyer options that a single relationship or unsolicited offer may never reveal.
3
Competition creates leverage. Multiple LOIs can improve a seller's ability to negotiate price, structure, management continuity, and other important terms.
4
Look beyond the highest offer. For BSA, continuity for management and career opportunities for the team were meaningful parts of buyer selection.
5
Every business has a story. Every transaction needs a strategy. A professionally managed process helps buyers understand what truly differentiates the company and gives ownership more options at the negotiating table.
