The Company

A Regional Telecom Infrastructure Contractor Built Like a Larger Platform

Founded in 2011 by Scott and Shari Gehrke, Cherokee Fiber & Associates grew into a turnkey underground and aerial utility construction company serving telecom and utility customers across the Southeast.

The company provided fiber placement, splicing, directional boring, vacuum excavation, emergency restoration, and aerial and underground utility construction, supported by experienced project managers and a safety-first operating culture.

Cherokee Fiber operated under 11 master service agreements with major telecom and utility providers and grew largely through referrals and repeat work rather than outbound sales. The company had never breached a contract for failure to complete a project on schedule or within budget.

Business Highlights
11 Master Service Agreements Established relationships with some of the country's largest telecom and utility providers.
Referral-Led Growth Growth came primarily from repeat work and customer referrals.
Experienced Leadership Project managers each brought at least a decade of field experience.
Safety-First Operations Certifications included DOT flagging, maintenance of traffic, trench and shoring, and OSHA erosion control.
Seller's Objective

Capturing a Growth Opportunity Ahead of Retirement

Scott Gehrke was planning for retirement at the same time Cherokee Fiber was entering a period of significant expansion. New master service agreements, including a statewide Alabama contract, and a deep project pipeline meant the company's next phase would require more capital, crews, and geographic reach.

Rather than retire and leave that opportunity unrealized, ownership wanted a buyer that could fund the next stage of growth while protecting the team, culture, and people who had built the company.

The Process

Hundreds of Buyers Created a Highly Competitive Process

Sunbelt Atlanta served as exclusive sell-side M&A advisor, with the transaction led by Dealmaker Doreen Morgan. The team built a broad buyer universe spanning strategic acquirers, private equity-backed platforms, and family offices active in telecom, utility, and infrastructure construction.

Over the course of the engagement, 257 qualified buyers engaged under strict confidentiality, protecting employees, customers, and the company's market position throughout the process.

That outreach generated seven letters of intent and gave ownership the ability to compare multiple buyer types and structures. From launch to close, the transaction was completed in seven months.

“257 qualified buyers and seven LOIs created real leverage, allowing ownership to compare not only financial terms, but also culture, growth capital, and the future of the team.”
Selecting the Right Partner

Employee Ownership Became the Differentiator

Ownership ultimately selected HB Global, an employee-owned holding company with a national portfolio of specialty construction and infrastructure businesses. While several strategic buyers showed interest, HB Global stood out because Cherokee Fiber employees could participate in its employee ownership program while receiving credit for their existing tenure.

The Buyer's Perspective

Turning Existing Contracts Into a National Growth Platform

HB Global saw significant crossover potential between Cherokee Fiber and Hyper Networks, another telecom infrastructure business in its portfolio. Cherokee Fiber's national-level contracts with carriers including Lumen, AT&T, and Windstream created an opportunity to expand existing customer relationships across a broader geographic footprint.

What Made This Deal Different

Growth Capital Without Leaving Employees Behind

Cherokee Fiber needed more than a buyer willing to fund expansion. Ownership wanted the people who had helped build the company to participate in its future as well.

Employee Ownership
Employees received the opportunity to participate in HB Global's employee ownership program.
Tenure Recognition
Time already served at Cherokee Fiber was recognized under the new ownership structure.
Growth Capital
A larger platform could fund more crews, equipment, and geographic expansion.
Strategic Crossover
Cherokee Fiber and Hyper Networks offered complementary capabilities and geographic coverage.
Market Context

Fiber Expansion and Infrastructure Spending Support Continued Demand

The transaction closed against a backdrop of sustained demand for telecom and utility infrastructure driven by fiber expansion, 5G build-outs, IoT adoption, rural connectivity programs, and continued investment in transmission and utility networks.

$1.8T
Estimated global telecommunications market
$2.9T
Projected global market by 2030
$20B
FCC Rural Digital Opportunity Fund supporting connectivity expansion
$96.9B
U.S. transmission line construction industry

Strategic buyers and private capital have increasingly pursued specialty infrastructure contractors with strong safety records, experienced field leadership, and master service agreements. Cherokee Fiber's contract relationships and steadily expanding backlog and pipeline placed it squarely within that profile.

Lessons for Sellers

Five Takeaways for Utility & Telecom Contractors

1
Sell into strength. Going to market while growth opportunities are expanding can create buyer confidence and negotiating leverage.
2
Cast a wide, confidential net. Hundreds of qualified buyers created multiple options and prevented the seller from relying on a single relationship.
3
Competition creates leverage. Seven LOIs gave ownership the ability to negotiate across financial terms, structure, culture, and growth strategy.
4
Look beyond the highest offer. For this seller, growth capital and an employee ownership program that recognized the team's tenure mattered alongside economics.
5
Every business has a story. Every transaction needs a strategy. A well-run process can connect buyer strategy, employee continuity, existing customer relationships, and future capital needs in one transaction.
