The Company

A Multi-Location Behavioral Health Provider Built on Clinical Quality

Founded in 2006 by Kevin Freeman and Mark Peterson, Grace Harbour, Inc. grew from a single-office practice into a multi-location behavioral health provider serving more than 23 Georgia counties.

The CARF-accredited agency provided evidence-based mental health and substance abuse treatment, assessment, and training programs to children, adolescents, and adults. Grace Harbour was also among Georgia's first Core Service Providers authorized by the Georgia Department of Behavioral Health and Developmental Disabilities.

Long-standing referral relationships, low staff turnover, diversified funding sources, and early adoption of evidence-based programs such as Functional Family Therapy and Multisystemic Therapy helped the business establish a reputation for clinical quality and consistent growth.

Business Highlights
23+ Georgia Counties A broad regional service footprint built from a single-office beginning.
CARF Accredited A recognized indicator of clinical quality and organizational standards.
Evidence-Based Care Programs included Functional Family Therapy and Multisystemic Therapy.
Referral-Led Growth Growth came largely through referrals and word of mouth.
Seller's Objective

Two Partners. Two Different Paths to the Next Chapter.

Grace Harbour's two owners were at very different stages of their careers. One had reached retirement age and wanted a complete exit. The other, in his early forties, wanted to step back from day-to-day ownership responsibilities while remaining involved with the company and creating more time to teach at Mercer University.

The transaction therefore needed to solve two different succession goals at once: provide a clean retirement for one partner while creating a meaningful continuing role for the other. Sunbelt Atlanta was engaged to run a confidential process built around those dual objectives.

The Process

Creating Competitive Tension While Protecting the Business

With the transaction led by Dealmaker Doreen Morgan, Sunbelt Atlanta built a targeted universe of strategic and financial acquirers active in behavioral health and outpatient mental health services.

The process reached 50 qualified buyers under strict confidentiality, helping protect Grace Harbour's staff, referral relationships, and competitive position throughout the marketing period.

That outreach generated four letters of intent, giving ownership genuine leverage and the ability to compare transaction structures rather than negotiate against a single proposal. From launch to close, the transaction was completed in nine months.

“Four competing letters of intent gave ownership the flexibility to evaluate not only price, but also continuity, partner roles, and opportunities for the management team.”
Selecting the Right Partner

More Than a Financial Outcome

Ownership selected NCG Care because it offered the scale, reputation, and behavioral-health experience to support Grace Harbour's next phase of growth. Just as important, NCG Care could accommodate the continuing partner's desire to remain involved while preserving time to teach and offered advancement opportunities for Grace Harbour's management team.

The Buyer's Perspective

A Geographic and Talent Acquisition

For NCG Care, Grace Harbour provided immediate entry into a Georgia service area the buyer had not previously served. The transaction also added an established multi-office platform, CARF-accredited clinical capabilities, and a management team that NCG Care believed could take on broader roles across the organization.

The Unique Deal Challenge

One Transaction Had to Solve Two Different Succession Goals

Partner One
Full Retirement
One owner had reached retirement age and wanted a clean exit from the business.
Partner Two
Partial Exit
The second owner wanted less day-to-day responsibility while retaining a meaningful role and more time to teach.
The Solution
A Flexible Strategic Buyer
NCG Care had the scale to assume ownership while creating a continuing role for the partner who remained involved.
Market Context

Strong Demand in a Fragmented Behavioral Health Market

The transaction closed amid sustained demand for outpatient behavioral health services. The market remained highly fragmented, creating opportunities for larger healthcare networks to acquire established regional providers with strong referral relationships, diversified funding sources, and evidence-based programs.

4.6%

$20.4B
Projected U.S. market size referenced in the case study
26.2%

In that environment, providers such as Grace Harbour—with evidence-based programming, diversified payor sources, established referral networks, and a strong management team—can become attractive strategic acquisition targets for larger networks looking to expand geographically and add clinical capabilities.

Lessons for Sellers

Five Takeaways for Healthcare Business Owners

1
Plan for different exit goals among co-owners. A transaction can sometimes accommodate a full exit for one partner and a redefined role for another.
2
Cast a wide, confidential net. Broader outreach can create choices that a single relationship or unsolicited offer may not provide.
3
Competition creates leverage. Multiple LOIs can strengthen a seller's ability to negotiate structure, continuity, and other important terms.
4
Look beyond the highest offer. Reputation, flexibility, career opportunities for employees, and cultural fit can carry significant weight.
5
Every business has a story. Every transaction needs a strategy. A professionally managed process can align the transaction structure with both financial goals and personal succession priorities.
